Terms of Service

These Terms of Service ("Terms") govern your use of the YieldKey website and the YieldKey service ("Service"), operated by Capital Orbit Group Ltd (company number 15345537), a company registered in England and Wales with registered office at 3rd Floor, 86–90 Paul Street, London, EC2A 4NE ("YieldKey", "we", "us", "our").

By using the website or signing up for the Service, you ("you", "Customer") agree to be bound by these Terms.

If you are agreeing to these Terms on behalf of a company or other legal entity, you confirm you have authority to bind that entity, and "you" refers to that entity.

1. The Service

YieldKey provides AI-powered software for property operators, currently including:

  • YieldKey Reply — AI lead response and qualification for estate and lettings agencies
  • YieldKey Host — AI guest messaging and operations support for short-term rental hosts (in development)
  • YieldKey Source — AI deal sourcing and outreach for property investors (in development)

We may add, change, or remove features over time. We will give reasonable notice of material changes that adversely affect existing paid customers.

2. Your account

To use the Service you may need to create an account. You agree to:

  • Provide accurate, current, and complete information
  • Keep your login credentials confidential and not share them
  • Be responsible for all activity that occurs under your account
  • Notify us promptly at privacy@yieldkey.ai if you become aware of unauthorised access

3. Acceptable use

You agree NOT to use the Service to:

  • Send spam, unsolicited marketing, or communications that violate UK PECR, the CAN-SPAM Act (US), or equivalent laws
  • Process personal data unlawfully, including without an appropriate legal basis under UK GDPR
  • Interfere with, disrupt, or compromise the integrity, performance, or security of the Service
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent expressly permitted by law
  • Use the Service to build a competing product or to benchmark for a competing product
  • Use the Service for any unlawful, fraudulent, harassing, or harmful purpose
  • Misrepresent AI-generated communications as having been written by an individual human in any context where applicable law requires disclosure
  • Bypass any access controls, rate limits, or usage restrictions
  • Upload viruses, malware, or any other malicious code

We reserve the right to suspend or terminate access for serious or repeated breaches.

4. Customer data and your responsibilities as data controller

You retain ownership of all data you submit to the Service, including configuration data and personal data of your prospects, leads, guests, and end users ("Customer Data").

You are the data controller for personal data you submit through the Service. We act as your data processor under the terms of our Data Processing Agreement (DPA), which forms part of these Terms by reference and is available at /data.

You are responsible for:

  • Having a valid lawful basis under UK GDPR for processing the personal data you submit to the Service
  • Providing all required privacy notices to your data subjects (your prospects, leads, guests)
  • Obtaining all required consents
  • Responding to data subject requests, with our reasonable support as described in the DPA
  • Ensuring your use of the Service complies with all applicable laws, including consumer protection, marketing, financial promotion, and anti-money laundering rules where relevant

5. Fees and payment

Where you are a paying customer, fees and payment terms will be set out in a separate order form or subscription agreement.

Unless otherwise agreed:

  • Fees are exclusive of VAT
  • Fees are payable in advance
  • We may suspend the Service for non-payment after reasonable notice
  • We reserve the right to change pricing for renewal periods on not less than 30 days' notice before the renewal date

6. Intellectual property

We own all intellectual property rights in the Service, including the software, models, designs, copy, branding, and underlying technology. These Terms do not grant you any rights to that intellectual property except the limited right to use the Service as described.

You grant us a non-exclusive, royalty-free licence to use Customer Data solely for the purpose of providing and improving the Service, and only as permitted by the DPA. We do not use your Customer Data to train general-purpose AI models.

Any feedback, suggestions, or ideas you provide may be used by us without restriction or compensation to you.

7. AI-generated content

You understand that:

  • The Service uses AI models that generate content based on patterns in language. Output may contain errors, omissions, or content that does not reflect your business intent.
  • You are responsible for reviewing AI-generated communications before they are sent in your name, where review is appropriate to your use case.
  • We provide tooling to support human review, override, and approval. How you configure that workflow is your responsibility.
  • We do not warrant that AI output is free from errors or suitable for any specific decision (for example, legal, financial, regulatory, or compliance decisions).

You agree to indemnify us for any third-party claim arising from your use of AI-generated content that you sent, approved, or failed to review in line with your obligations.

8. Warranties and disclaimers

We warrant that the Service will be provided with reasonable skill and care.

Except for the express warranty above, the Service is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all other warranties, conditions, and representations, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or fully secure
  • Any specific business result (lead conversion, booking rate, response time) will be achieved
  • AI output will be accurate, complete, or suitable for any particular purpose

9. Limitation of liability

Nothing in these Terms limits liability that cannot lawfully be limited, including:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded under English law

Subject to the above:

a) Neither party will be liable for any indirect, consequential, special, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, anticipated savings, or data.

b) Each party's total aggregate liability under or in connection with these Terms in any 12-month period will not exceed the greater of (i) the fees paid by you to us in that 12-month period or (ii) £1,000.

This limitation applies to all heads of liability, whether arising in contract, tort (including negligence), breach of statutory duty, or otherwise.

10. Term and termination

These Terms apply from the date you first use the Service and continue until terminated.

Either party may terminate:

  • For convenience, with 30 days' written notice (where there is no fixed subscription term — otherwise as set out in your order form)
  • Immediately for material breach by the other party that is not remedied within 14 days of written notice
  • Immediately if the other party becomes insolvent, enters administration, or ceases to trade

On termination:

  • Your right to use the Service ends
  • We will, on request, provide Customer Data export for 30 days, then delete in line with the DPA
  • Fees paid for the current period are non-refundable except where required by law

Clauses that by their nature should survive termination (intellectual property, liability, governing law, confidentiality, data) will continue to apply.

11. Confidentiality

Each party will keep the other's confidential information confidential and use it only for purposes connected with these Terms. This obligation does not apply to information that:

  • Is or becomes publicly known through no fault of the receiving party
  • Was already known to the receiving party without obligation of confidence
  • Is independently developed by the receiving party
  • Is required to be disclosed by law or regulator

12. Changes to these Terms

We may update these Terms from time to time. The current version, with its effective date, will always be published at this URL. For material changes affecting paying customers, we will provide at least 30 days' notice by email. Continued use of the Service after the effective date constitutes acceptance.

13. General

Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, and DPA, are the entire agreement between us and supersede any prior agreement on the subject matter.

No waiver. A failure or delay to enforce any right is not a waiver of that right.

Severability. If any clause is held to be unenforceable, the remainder remains in full force.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of substantially all our assets.

Notices. Notices to us should be sent to privacy@yieldkey.ai or to our registered office. Notices to you will be sent to the email address associated with your account.

Third parties. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision.

Force majeure. Neither party is liable for failure to perform caused by events beyond its reasonable control.

14. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, except that we may seek injunctive relief in any competent court.
